AlphaForge Agent Services Agreement — terms, pricing, SLA, data handling, and cancellation policy.

1. Parties
Provider: AlphaForge, operated by InvestorConnectAI. Contact: Mike Elliott — mike.elliott@alphaforgeusa.com
Client: The individual or organization that purchases AlphaForge agent services (“you” or “Client”).
2. Services
AlphaForge designs, builds, and deploys custom AI agents tailored to your business workflows. Services include:
- Agent configuration with system prompts tailored to your workflows
- Bundled data infrastructure: tenant-isolated CRM, data enrichment, and reporting dashboard for capturing and managing the data your agents work with
- Integration with existing CRM (HubSpot, Salesforce, Pipedrive, GoHighLevel, etc.) on request — in lieu of the bundled CRM
- Deployment on AlphaForge managed infrastructure
- Ongoing monitoring, maintenance, and AI model upgrades
- Client-facing usage dashboard
3. Pricing & Payment
Setup Fee
$500, one-time, the same on Basic, Pro, and Ultra. Due before the build begins. Non-refundable once the build has started (within 24 hours of payment).

No Metered Usage
- The monthly rate is flat. There are no per-call, per-minute, per-seat or per-agent charges, and no usage overages
- Call and message volume does not change the invoice
- AlphaForge may auto-throttle service when daily usage exceeds 10× the rolling baseline (fraud / runaway protection); service resumes after investigation
- Any change to a Client's monthly rate requires 30 days' written notice
Fee Structure
- Subscription prices include the programming, configuration, optimization, monitoring, maintenance, security updates, support, managed hosting, CRM and inference stated in the agreed plan scope
- Additional infrastructure, provider requirements, or custom integrations are scoped and quoted in writing as bespoke work on top of a plan
- Phone numbers and other pass-through costs are billed at provider rates with no markup
- If AlphaForge's upstream infrastructure costs rise more than 15%, AlphaForge may adjust pricing with 30 days' written notice
Payment Terms
- All payments processed via a PCI-compliant payment processor
- Monthly subscription charged on the same date each month (starting from go-live date)
- Failed payment: 3-day grace period, then agent service paused until payment resolves
- No long-term commitment required
4. Build & Demo
- Implementation timeline, prerequisites and acceptance criteria are defined in the accepted scope
- The firm tests the scoped workflow before subscription activation
- You test your agents on real tasks before paying any subscription fees

6. Data Handling & Privacy
- All data processed by agents remains your property
- We will not sell, share, rent, or use your data for any purpose other than delivering the agreed services
- Data is stored on managed infrastructure hosted in the United States
- We implement reasonable security measures including encrypted connections, access controls, and regular security reviews
- On termination: your data is exported within 7 days of request and permanently deleted within 30 days
- You are responsible for ensuring that data shared with agents complies with all applicable laws
- Security incident notification follows the accepted agreement and applicable requirements; no universal notification timeline is promised here
- Security controls, integrations, and workflow boundaries are reviewed and maintained according to the agreed service scope
- Encrypted connections are used where supported by the managed application and service providers
- Client access is authenticated, tenant-aware, and scoped to the applicable workspace and role

7. Client Responsibilities
You agree to:
- Provide accurate and complete workflow information during discovery
- Provide necessary API credentials, access tokens, and platform permissions for agreed integrations
- Respond to build-related questions within 24 hours during the build phase
- Review and test agents during the demo period and provide timely feedback
- Report issues, errors, or concerns promptly
- Maintain a valid payment method on file with Stripe
- Ensure that use of agent services complies with applicable laws
8. Intellectual Property
- Agent configurations (system prompts, integration logic) created for you are licensed to you for the duration of your subscription
- The AlphaForge platform, infrastructure, and tooling remain our intellectual property
- You retain all rights to your own data, content, and business processes
- On cancellation, you may request a copy of your agent configuration files
9. Cancellation & Termination
- You may cancel at any time — written notice via email is sufficient
- Agents are deactivated at the end of the current billing period
- No refund for partial months
- Setup fee is non-refundable once the build has started
- Data export available for 7 days post-cancellation
- We may terminate with 30 days written notice if you violate this agreement or use agents for illegal purposes
- We may suspend service immediately if your use poses a security risk to the platform
10. Limitation of Liability
Our total liability is limited to fees paid by you in the prior 3 months. We are not liable for:
- Actions taken by agents based on data or instructions you provide
- Third-party API failures, outages, or rate limiting
- Business decisions made based on agent outputs
- Indirect, consequential, or incidental damages
- Lost revenue, data loss, or business interruption beyond the liability cap
You acknowledge that AI agents may produce imperfect outputs and that you are responsible for reviewing agent behavior in high-stakes contexts.
11. Modifications
- We may update pricing with 30 days written notice — existing subscription rates are locked until the notice period expires
- Service scope changes require mutual written agreement
- This agreement supersedes all prior understandings and communications
- We may update these terms for new features or regulatory compliance with reasonable notice
12. Governing Law
This agreement is governed by the laws of the State of Florida, United States.
13. AI Services — Law Firm Clients
This section applies where the Client is a law firm or a licensed attorney. It supplements, and does not replace, the sections above.
13.1 AlphaForge is not a law firm
AlphaForge is a technology provider. It does not practice law, does not supervise your practice, and does not provide legal advice to you or to anyone who contacts you. No attorney-client relationship arises between AlphaForge and the Client, or between AlphaForge and any person who interacts with an agent deployed for the Client.
13.2 No certification of compliance
AlphaForge does not certify, warrant, or represent that the Client, the Client's practice, or any agent configuration complies with the rules of professional conduct of any jurisdiction, or with any other law. What AlphaForge provides is a control record — a written statement of what the agents are configured to do and refuse, identifying the specific file in which each control is enforced, so that the Client or the Client's counsel can verify it independently. Responsibility for determining whether the configuration satisfies the Client's professional obligations rests with the Client.
13.3 What the agents are configured to refuse
Agents deployed for a law-firm Client are configured to:
- Identify themselves, before anything else, as an AI program and not an attorney or an employee of the firm
- Decline to give legal advice, and decline to discuss the caller's own documents, figures, deadlines, property or accounts
- Decline to state fees, rates, retainers or ranges
- Decline to draft documents and decline to predict the outcome of a matter
- Decline to state any fact about the firm that the firm has not supplied
- Stop, take no details and discuss no matter where a caller indicates they are already represented by another lawyer
- Transfer to a human on request
These constraints are enforced in the agent configuration and, where applicable, in the deployment checks. The current control record for the Client's own deployment is available to the Client in the Client's Operations Center.
13.4 The Client's supervisory responsibility
- The Client retains full professional responsibility for all communications made in the Client's name, including those generated by an agent
- The Client is responsible for reviewing the agent configuration and the control record before the agent takes live traffic, and for reviewing agent output on an ongoing basis
- Any warning, cautionary statement or disclaimer intended to limit the Client's professional obligations to a prospective client is authored by the Client or the Client's counsel. AlphaForge does not draft it and will not supply it
- The Client decides whether calls are recorded, and is responsible for any consent or notification that recording requires in the Client's jurisdiction
13.5 Open items
Where a fact about the Client's firm has not been supplied, AlphaForge records it as an open item with a stated refusal, and the agent refuses rather than supplying a plausible answer. Open items and their refusals are visible to the Client. Answering an open item does not itself change agent behaviour; AlphaForge folds the answer into the configuration in a reviewed change, so that no live legal prompt is edited without review.
13.6 Third-party processing and vendor terms
Agent traffic is processed by third-party services identified on the AI Disclosure page, which is incorporated into this agreement by reference. On request, AlphaForge will provide the Client with a written summary of each vendor's position on training, retention, confidentiality obligations and breach notification, identifying which terms are supported by an executed agreement and which are not. AlphaForge does not represent any vendor term as contractually in force until the corresponding agreement is executed.
13.7 Go-live
An agent is not placed into live service for a law-firm Client until the control record exists and is available to the Client, the open items have been answered or their interim refusals accepted in writing, and a named attorney at the Client has confirmed that the configuration matches their professional judgment.
